Soundboard Review Services is a professional services firm that provides boards with an effective way to bridge the gap to shareholders. By reviewing board process and actions in private – examining board minutes and materials considered by the board, among other things – Soundboard is in a position to assure shareholders and other interested parties (proxy advisors, insurers, media and regulators, for example) that the board has indeed reached decisions through the exercise of informed business judgment. Soundboard provides an opportunity for corporate boards to demonstrate their good practices through its Executive Compensation Process Review. Soundboard confidentially examines the activities of the compensation committee and board regarding executive compensation – focusing especially on the process used by the board in setting programs in place and implementing those programs. Soundboard’s conclusions are discussed with management and the board confidentially and can be put in an opinion letter form – saying, for example, if warranted, that the board used “generally accepted processes to set executive compensation” and that “the board exercised informed business judgment in setting executive compensation” – for use with the board’s various constituents.
