Spinova Ventures turns dormant R&D inside mid-market industrial and healthcare companies into independent, investable ventures. Most of these companies hold research that never reached a market: a process developed for one client, a prototype that outgrew its original use, a patent filed and shelved. It sits on the balance sheet, it costs money to maintain, and it competes for attention with the core business. Selling it is complicated. Building a business unit around it is expensive. So nothing happens. We build the third option. Spinova takes one non-core asset and structures it as a ring-fenced NewCo, designed from day one around a real market need, an investable equity story and the constraints of the parent company. The parent keeps its optionality, including the right to come back in, and carries none of the operating drag. We call these born-to-fit ventures. They are not incubated and then sold a fit. They are built to have one. The first step is a capped six-week scan. One asset, a fee agreed upfront, and a written answer: is there a venture here, what would it be worth, what would it take, and what the parent keeps. At the end you decide, on evidence, with no obligation to go further.
